Grant Program Terms & Conditions

These Grant Program Terms and Conditions ("Terms") govern your participation in any Xone grant program (each, a "Grant Program"). These Terms, together with the Terms of Use, Privacy Policy, and any supplemental documents, appendices, or policies expressly incorporated by reference, form a legally binding agreement (the "Agreement") between you (the individual or entity, "you" or "your") and Xone Labs Ltd. (including its affiliates, "Xone Labs", "we", or "us").

If there is a conflict between these Terms and the Terms of Use, these Terms will prevail. By submitting an application or participating in any Grant Program, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

1. Eligibility

To participate in a Grant Program, at the time of application and throughout the program:

• If applying as an individual, you must be of legal age in your jurisdiction and have the legal capacity to enter into binding agreements.
• If applying on behalf of an entity, you must be authorized to act on its behalf and bind it to these Terms.
• You must not be located in or subject to sanctions in any jurisdiction where holding or transferring digital assets is restricted or requires licenses you do not hold.
• You may not be listed on any sanctioned party list maintained by OFAC, the UN, EU, or UK, or reside in a jurisdiction subject to comprehensive sanctions.
• You must not be in violation of anti-money laundering (AML) or counter-terrorism financing (CTF) laws.

We reserve the right to deny or revoke your eligibility at our sole discretion, including based on any applicable law that prohibits your participation.

2. Grant Program Access

We reserve the right to modify, suspend, or terminate any Grant Program at any time without notice or liability to you.

3. Submission Requirements

All information you provide must be accurate, complete, and up to date. If any material changes occur, you must notify us via our support portal immediately. By submitting any content, you:

• Grant Xone Labs a perpetual, irrevocable, non-exclusive, royalty-free, fully paid, transferable, sublicensable, worldwide license to use, reproduce, distribute, and display the content for any purpose.
• Represent and warrant that you have the right to grant such license.

We may independently develop or receive similar content, and nothing in these Terms prevents us from using concepts, systems, or technologies similar to those in your submission.

4. Personal Data and Privacy

By participating, you agree:

• Your personal data will be processed according to our Privacy Policy or relevant third-party privacy policies.
• You authorize us to use and share your data for program administration, communication, and marketing purposes.
• You consent to your data being shared with service providers and partners involved in the Grant Program.

5. Publicity

You agree that we may use your name, logo, or trademarks to identify you as a participant in the Grant Program, without further approval or compensation, unless prohibited by law.

6. Disclaimers

Xone Labs disclaims all warranties related to third-party services, funding, or offers associated with the Grant Program. We are not responsible for interactions between you and any third-party collaborator, and participation does not guarantee funding or outcomes.

7. Modifications

We may update these Terms at any time. Continued participation constitutes your acceptance of such updates. You are responsible for reviewing the most current version of the Terms.

8. General Provisions

• All provisions of the Xone Terms of Use apply equally to these Terms, including but not limited to disclaimers, limitations of liability, governing law, and dispute resolution.
• References to "services" in the Terms of Use include participation in Grant Programs.
• This Agreement constitutes the entire agreement between you and Xone Labs concerning the Grant Program.

If you do not agree to these Terms, do not submit any application or participate in any Grant Program.
